Preamble

This license governs the use, modification, distribution, and commercialization of creative media assets (the “Assets”) created by the Licensor. The intent of this license is to allow broad creative freedom, including broad commercial use and commercial sale of derivative works, while preventing the resale of original Assets without meaningful creative contribution. By using, downloading, or incorporating these Assets in any way, you agree to be bound by the terms of this license.

Article 1 - Definitions

  • Assets means all creative media distributed under this license, including but not limited to graphic design files, images, illustrations, visual content, audio recordings, music, sound effects, video, film, animation, motion graphics, 3D models, textures, sprites, icons, and similar creative works, whether distributed individually or as a collection.
  • License Steward means the individual or entity responsible for maintaining and updating this license. The current License Steward is pixel20012, who may also be the original publisher and/or Licensor of the Assets.
  • Licensor means the copyright holder of the Assets, as identified in the documentation or metadata accompanying the Assets.
  • User means any individual or entity using the Assets under the terms of this license.
  • Derivative Work means any work that incorporates, modifies, or builds upon the Assets in a meaningful way, as defined in Article 4.
  • Compilation refers to a collection of Assets alongside other works that are not modifications of the Assets.
  • “As-Is” means distribution of the Assets with no meaningful creative modification, including but not limited to repackaging, reformatting, or resizing without additional creative contribution.
  • Digital Distribution means distribution of Assets or Derivative Works through any electronic, internet-based, or downloadable medium.
  • Physical Distribution means distribution of Assets in tangible form, including but not limited to printed goods, merchandise, manufactured products, physical recordings, or other tangible media.
  • AI Training means the use of the Assets to train, fine-tune, or otherwise develop artificial intelligence or machine learning models.
  • Effective Date means the date on which the Licensor first distributes the Assets under this license.

Article 2 - Grant of Rights

Subject to the terms of this license, the Licensor grants the User a worldwide, royalty-free, non-exclusive, perpetual right to:

  • Use the Assets in personal and commercial projects.
  • Modify, adapt, and build upon the Assets.
  • Incorporate the Assets into larger works, products, services, or websites.
  • Create Derivative Works, including for commercial sale, subject to Article 4.
  • Create Compilations incorporating the Assets.
  • Redistribute the Assets As-Is, provided this license is included in full with any such redistribution (see Article 6).
  • Distribute the Assets in Physical form As-Is, including for commercial sale. Physical reproduction constitutes sufficient transformation under this license.
  • Use the Assets for AI model training, subject to Article 9.

Article 3 - Prohibited Uses

The following uses are expressly prohibited:

  • Selling or commercially distributing the Assets digitally As-Is, without meaningful creative contribution as defined in Article 4.
  • Reselling or redistributing the Assets as a standalone digital product or asset pack without meaningful creative contribution.
  • Sublicensing the original Assets to third parties, except as permitted under Article 4 for Derivative Works.
  • Using the Licensor’s name, brand, or identity to imply endorsement or sponsorship of any product, service, or project without the Licensor’s prior written permission (see Article 8).

Article 4 - Derivative Works and Modification Threshold

A Derivative Work is eligible for independent copyright and commercial sale by its creator, provided it meets the following threshold: The Derivative Work must reflect meaningful creative contribution by the User. The standard is intent and creative authorship, the User must have clearly applied their own creative expression to the work such that it is distinguishable from the original Assets by virtue of that contribution. The examples below are illustrative, not exhaustive.

The following constitute meaningful creative contributions:

  • Addition of original text, branding, typographic elements, or compositional design to a visual asset.
  • Integration of the Assets into a larger original work where the User’s creative decisions define the final output.
  • Significant recomposition, recontextualization, or visual transformation that reflects the User’s authorship.
  • For audio and music: remixing, arranging, reharmonizing, or incorporating the Assets into an original composition where the User’s creative decisions define the resulting work.
  • For video and animation: editing, compositing, or incorporating the Assets into an original production where the User’s direction and creative choices define the resulting work.
  • For 3D assets: rigging, retopologizing, incorporating into a scene, or substantially reworking the geometry, materials, or context in a way that reflects the User’s authorship.

The following do NOT constitute meaningful creative contribution:

  • Resizing, reformatting, or converting file formats without additional creative work.
  • Recoloring or applying basic filters as the sole modification.
  • Repackaging the Assets with minimal or cosmetic changes for resale.
  • Changing tempo, pitch, or volume of an audio asset as the sole modification.
  • Cropping, color-grading, or speed-adjusting a video asset as the sole modification.

The creator of a qualifying Derivative Work retains full copyright over their creative contributions and may license their Derivative Work under any terms they choose.

Article 5 - Non-Aggression

No rights granted under this license, including any rights arising from the creation of a Derivative Work, may be used to bring intellectual property claims against the Licensor that would prevent or restrict the Licensor from continuing to use, distribute, modify, or commercialize the original Assets or any prior version thereof. Users and creators of Derivative Works expressly waive any right to assert copyright or related claims against the Licensor that arise solely from the User’s exercise of rights granted under this license.

Article 6 - Redistribution Requirements

Any redistribution of the Assets As-Is, whether free or for compensation, must include a complete, unmodified copy of this license. The User must make clear to recipients that the Assets are distributed under the Open Pixel License and provide access to the license text.

Article 7 - Representations and Moral Rights

The Licensor represents that, to the best of their knowledge, the Assets are original works of authorship and do not infringe the intellectual property rights of any third party. To the fullest extent permitted by applicable law, the Licensor waives all moral rights in the Assets, including but not limited to the right of attribution and the right of integrity, with respect to uses permitted under this license. The Assets are provided “as is” without warranty of any kind, express or implied. The Licensor makes no representations regarding fitness for any particular purpose, accuracy, or non-infringement beyond what is stated in this article.

Article 8 - Trademark and Endorsement

This license does not grant any rights to use the Licensor’s name, trade name, brand identity, social media handles, or other identifying marks for any purpose, including but not limited to implying endorsement, sponsorship, or affiliation with any product, service, or project. Users may factually state that their work incorporates Assets created by the Licensor (e.g., “Assets by [Name of Licensor]”) without implying endorsement. Any use that suggests the Licensor officially endorses or sponsors the User’s work requires the Licensor’s prior written permission.

Article 9 - AI Training

Use of the Assets to train, fine-tune, or otherwise develop artificial intelligence or machine learning models is permitted, subject to the following conditions:

Any person or entity that trains an AI model using the Assets must, when distributing or publishing outputs, models, or products derived from such training, disclose that the Licensor’s Assets were used in the training data. This disclosure must be clearly legible and reasonably accessible to end users of the resulting model or outputs.

The Licensor may specify additional disclosure requirements in documentation accompanying the Assets. Where such requirements are specified, they supplement and do not replace the baseline disclosure requirement above.

Failure to comply with this article constitutes a material violation of this license and is subject to termination under Article 10.

Article 10 - Termination

This license and all rights granted hereunder terminate automatically and immediately upon any material violation of its terms by the User. Rights terminated under this article are reinstated automatically upon the User’s full remedy of the violation, provided the Licensor has not taken formal legal action. Reinstatement does not waive the Licensor’s right to seek damages or other relief for the period of violation.

Article 11 - Governing Law

This license shall be interpreted in accordance with applicable law. Nothing in this license limits the rights of any party under applicable statutory law.

Article 12 - License Versioning

The License Steward (pixel20012) may publish updated versions of this license at any time. Each version will be given a distinguishing version number. When Assets are distributed under this license without a version number specified, the User may apply the terms of any version of the Open Pixel License ever published by the License Steward. Where the Licensor explicitly designates a specific version at the time of distribution, the User may apply the terms of that designated version or any later version published by the License Steward.

Article 13 - Entire Agreement

This license constitutes the entire agreement between the Licensor and the User regarding the Assets. This license supersedes all prior or contemporaneous oral or written understandings, agreements, or representations regarding the subject matter herein.

Article 14 - Severability

If any provision of this license is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from this license. The remaining provisions shall continue in full force and effect.

Article 15 - Licensing History and Scope

This license applies to all Assets distributed under it from the date of adoption by the Licensor. No provision of this license shall be construed to limit or affect the rights of any party who received Assets under a separate, prior license.

Article 16 - Limitation of Liability

In no event shall the Licensor be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use the Assets, even if the Licensor has been advised of the possibility of such damages. The Licensor’s total liability for any claim arising under this license shall not exceed the amount paid by the User for the Assets, or zero if the Assets were obtained at no cost.

Article 17 - Reserved Rights and Irrevocability

17.1

The Licensor retains all rights not expressly granted under this license, including the right to display, reproduce, distribute, and otherwise use the Assets for any purpose, including portfolio, promotional, and commercial use. Where rights are expressly granted under this license, any distribution or redistribution of the Assets by a User is governed by this license unless an explicit written exception has been made by the Licensor (such as a Client Exception Addendum). In the absence of such an exception, this license transfers with the Assets in all permitted distributions.

17.2

The Licensor irrevocably grants the rights in this license for any Assets published under it. The Licensor may cease future distribution of the Assets at any time, but may not revoke the rights of any User who received the Assets under this license prior to that cessation. No future action by the Licensor, including claims of proprietary use or rebranding, shall affect the rights already granted to Users under this license.
